1. Acceptance
These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and SociapexPro Ltd, operator of KryptWave ("KryptWave", "we", "us", "our"). By accessing or using our website, mobile services, APIs, widget, or other products (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility
To use the Services, you must:
- Be at least 18 years old.
- Be a resident of Nigeria or otherwise legally permitted to use the Services under Nigerian law.
- Complete identity verification (KYC) through our licensed partner Busha.
- Not be barred from using the Services under any applicable law.
3. The Services
KryptWave provides a user interface that connects Nigerian bank accounts with crypto wallets. Buy and sell transactions, checkout flows, and API access are executed through Busha, a licensed Nigerian digital asset exchange. KryptWave is an interface; Busha is the regulated counterparty executing the underlying transaction.
KryptWave is non-custodial. We do not hold your crypto, your private keys, or your Naira balance. Crypto is delivered directly to the wallet you specify, and Naira is settled directly to the bank account you verify.
4. Account responsibilities
- You are responsible for maintaining the confidentiality of your login credentials, API keys, and webhook secret.
- You must notify us immediately of any unauthorized use of your account or any breach of security.
- You are responsible for all activity that occurs under your account or API keys.
- You must provide accurate and up-to-date information. False information may result in suspension or termination.
5. Prohibited uses
You may not use the Services to:
- Violate any applicable law or regulation, including Nigerian AML and CFT laws.
- Engage in fraud, money laundering, terrorist financing, or the sale of illegal goods or services.
- Impersonate any person or entity, or misrepresent your affiliation.
- Attempt to gain unauthorized access to any part of the Services, other accounts, or our systems.
- Interfere with the proper functioning of the Services, including through denial-of-service attacks, scraping, or automated abuse.
- Transact on behalf of any sanctioned person or entity.
We reserve the right to suspend or terminate any account that we reasonably believe is engaged in prohibited activity, and to report activity to relevant authorities.
6. Fees
Fees for swaps and payment links are shown in the quote breakdown before you confirm any transaction. Fees may change from time to time, and the current fee will always be displayed before you proceed. By confirming a transaction, you accept the fees shown.
API integrators may set their own markup within the limits shown on the Business API page. The markup is added to the transaction and settled to the integrator as described in the Business API dashboard.
7. No financial advice
KryptWave does not provide investment, financial, legal, or tax advice. Prices, rates, and market data displayed through the Services are for informational purposes only. Crypto assets are volatile and you may lose money. You are solely responsible for your financial decisions.
8. Third-party services
The Services rely on Busha, banks, payment providers, cloud infrastructure, and analytics providers. We are not responsible for the acts, omissions, errors, or downtime of these third parties. Your use of Busha's services is also subject to Busha's own terms and privacy policy.
9. Risks
You acknowledge and accept the following risks:
- Market risk: crypto prices are volatile and may fall to zero.
- Network risk: blockchain networks may experience congestion, forks, or attacks that delay or prevent transactions.
- Wrong-network risk: sending crypto on the wrong network may make the funds unrecoverable.
- Regulatory risk: Nigerian or foreign regulation may change in ways that affect the Services.
- Counterparty risk: Busha or a bank may experience downtime or operational issues.
10. Limitation of liability
To the maximum extent permitted by Nigerian law, KryptWave, SociapexPro Ltd, and our officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profit, revenue, data, or crypto, arising out of or in connection with your use of the Services.
Our total aggregate liability to you for any claim arising out of or relating to the Services shall not exceed the greater of (a) the fees you paid to KryptWave in the twelve months preceding the claim, or (b) ₦50,000.
11. Indemnity
You agree to indemnify and hold harmless KryptWave, SociapexPro Ltd, and our officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
12. Termination
You may close your account at any time by contacting support. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the Services or other users.
Termination does not relieve you of obligations incurred before termination, including the obligation to pay outstanding fees and to settle any pending transactions.
13. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice. Continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms. The "Last updated" date at the top reflects the current version.
14. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be resolved in the courts of Nigeria.
